Legal Counsel

About the role

The Legal Counsel will provide comprehensive legal and compliance support to ensure steady operations and sustainable advancement of mineral resource development and expansion projects. Working closely with internal and external teams, the role delivers practical, solution‑oriented advice aligned with company policies, applicable laws, and strategic objectives.

Key responsibilities

• Support selection and engagement of external counsel in line with case nature and internal approval procedures.
• Manage dispute resolution matters, including administrative, commercial contract, labour, litigation, and arbitration cases.
• Structure, review, and implement project‑related agreements such as investment, financing, and internal restructuring arrangements.
• Identify legal and compliance risks for projects and provide timely support to internal stakeholders.
• Maintain constitutional documents, statutory registration records, and liaise with external counsel and corporate secretarial service providers.
• Prepare and draft Board papers and corporate governance documentation, ensuring compliance with laws and internal requirements.
• Support standardisation of Board governance processes, including preparation, filing, and retention of decision‑making records.
• Assist Group Legal in reviewing connected transactions and related‑party transactions for compliance with listing rules and joint‑venture governance.
• Implement shareholder‑mandated compliance requirements at site level, covering anti‑corruption, personal data protection, and other regulatory matters.
• Review, draft, and negotiate commercial contracts, assess supplier amendments, and provide ongoing legal support during contract implementation.
• Assist with other legal, compliance, and corporate governance matters as required.
